Sourcify Terms of Use

These Terms of Use (“Terms”) govern your access to and use of services, applications, websites, and software products provided by Sourcing, Inc. (d/b/a “Sourcify,” “we,” “us,” or “our”), a subsidiary of Izba Group, LLC (“Izba Group”). These Terms incorporate Izba Group’s shared legal and operational framework.

By accessing or using any Sourcify services or platforms, you agree to be bound by these Terms. If you do not agree, do not use the Services.

  1. About Sourcify and the Izba Group

Sourcify, Inc. is a Delaware corporation operating as part of the Izba Group, a New Jersey company located at: 322 W 5th Street #109, Marysville, OH 43040.

All employees are employed by Izba Group, LLC. Intellectual property used by Sourcify is owned by Izba Group and licensed to Sourcify. Data infrastructure, hosting, and software systems are shared across the Izba Companies.

  1. Services and Platform Access

Sourcify provides sourcing workflow software and sourcing-related services that enable brands to identify, evaluate, and work with manufacturers around the world. Service levels may include free access, subscription-based software, and pay-per-order managed services. Your access is subject to these Terms and any applicable commercial agreement or subscription terms.

  1. User Accounts and Access

To access Sourcify, you may be required to register an account. You agree to:

  • Provide accurate business and contact information
  • Maintain confidentiality of your credentials
  • Use account access only for authorized business purposes

Users must be at least 18 years old. You may not impersonate other companies, individuals, or misrepresent your relationship with any other party.

  1. IP Ownership and Use

All platform software, templates, workflows, and underlying systems used by Sourcify are either owned by Sourcify or licensed to Sourcify from third parties or affiliated companies, including Izba Group, LLC. Sourcify retains all rights, title, and interest in its proprietary software, tools, and business processes. You are granted a limited, non-exclusive license to use the platform for your internal business purposes. You may not reverse engineer, resell, sublicense, or create derivative works based on our intellectual property.

To the extent Sourcify uses shared infrastructure or tools provided by Izba Group, such systems are governed under separate agreements but do not affect ownership of Sourcify’s intellectual property.

  1. AI-Powered Features

Sourcify may offer AI-powered tools to assist with quoting, cost comparisons, supplier recommendations, and sourcing analytics. These features are intended to support—not replace—human decision-making. Final evaluations and sourcing choices remain the responsibility of the user.

Sourcify makes no warranties as to the accuracy, completeness, or suitability of AI-generated outputs. Use of such tools is at your own discretion.

  1. Acceptable Use and Conduct

You agree not to:

  • Scrape or crawl content from the Sourcify platform
  • Submit false or misleading supplier or quote data
  • Circumvent any fees or access controls
  • Interfere with site security or misuse AI functionality
  • Impersonate others or share access credentials

Non-Solicitation: You may not solicit or attempt to hire any employee of Sourcify or Izba Group for a period of 12 months following your last use of any Service.

  1. Fees and Payments

Sourcify offers software subscriptions (monthly or annual), managed service fees, and PO-based transaction pricing. All payments are due in accordance with the agreed-upon terms. Fees are non-refundable unless otherwise specified in writing. If your account becomes delinquent, access may be suspended. If the tariff or duty rate changes between when the client places the PO and when it ships, the client will be liable for change in duties owed even if the PO was quoted as DDP. 

  1. Confidentiality

You agree not to disclose, misuse, or improperly access any non-public or proprietary information shared via the Services. This includes product specifications, pricing, quotes, technical drawings, trade secrets, and any other confidential business information. You remain responsible for securing such information and limiting its distribution within your organization.

  1. Third-Party Manufacturer Disclaimer

Sourcify facilitates connections between brands and independent manufacturers. However, we do not control, audit, or guarantee the performance, reliability, or regulatory compliance of any third-party manufacturers. You are solely responsible for due diligence prior to entering into transactions.

  1. Termination

We reserve the right to suspend or terminate access to Sourcify at any time if you breach these Terms or any agreement with us. Upon termination, your right to access the platform ends immediately. All accrued payment obligations will survive termination.

  1. Indemnification

You agree to defend, indemnify, and hold harmless Sourcify and Izba Group from any claims, losses, liabilities, and expenses (including attorneys’ fees) arising from your use of the Services, any data or content submitted by you, your violation of these Terms, or your interaction with manufacturers.

  1. Assignment

You may not assign these Terms without prior written consent. Sourcify may assign or transfer these Terms in whole or in part without restriction.

  1. Force Majeure

Neither party shall be liable for delays or failure in performance resulting from causes beyond its reasonable control, including natural disasters, war, embargoes, legal restrictions, supply chain disruptions, or telecommunications outages.

  1. Limitation of Liability

To the fullest extent permitted by law, Sourcify and its parent company disclaim all indirect, incidental, or consequential liability. Total liability under these Terms will not exceed the fees paid by you in the 12 months preceding the event, or $100 if no fees were paid.

  1. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware. In the event of a dispute, the parties agree to attempt good faith resolution. If unresolved, the dispute will be submitted to binding mediation in Delaware. If mediation fails, exclusive jurisdiction will lie in Delaware courts.

  1. Feedback and Suggestions

Any feedback, suggestions, or ideas you submit may be used freely by Sourcify without compensation. You grant Sourcify a worldwide, perpetual license to use such feedback for any purpose.

  1. Updates to These Terms

We may revise these Terms periodically. Updated terms will be posted, and continued use of the platform constitutes acceptance
